Terms of Service
1. Acceptance of Terms
By accessing or using the WPI Reseller Network portal (“Platform”), you agree to be bound by these Terms of Service and all applicable laws. If you do not agree, do not use the Platform.
2. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into contracts to use the Platform. By using the Platform you represent and warrant that you meet these requirements.
3. Agent and Client Accounts
Agent accounts are created upon approval of a reseller application and execution of an Independent Contractor Agreement (ICA). Client accounts are created following a signed service agreement and initial payment. You are responsible for maintaining the confidentiality of your account credentials.
4. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose or in violation of these Terms
- Impersonate WPI or any other person or entity
- Transmit spam, malware, or disruptive content
- Attempt to gain unauthorized access to any part of the Platform
- Engage in any activity that interferes with or disrupts the Platform
5. Commission and Payment Terms
Commission rates, payment schedules, and payout methods are governed by the Independent Contractor Agreement (ICA) signed by each agent. WPI reserves the right to modify commission structures with 30 days’ written notice. Disputed commissions must be reported within 60 days of the commission period.
6. Intellectual Property
All content on the Platform — including logos, training materials, sales scripts, and brand assets — is the exclusive property of WP Integrate LLC. Agents are granted a limited, non-exclusive, non-transferable license to use WPI brand assets solely for approved sales and marketing activities during the term of their ICA.
7. Termination
WPI may terminate or suspend your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, all licenses granted under these Terms immediately terminate. Provisions that by their nature should survive termination will survive.
8. Limitation of Liability
To the maximum extent permitted by law, WPI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform. WPI’s total liability shall not exceed the commissions paid to you in the 3 months preceding the claim.
9. Governing Law
These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration in Atlanta, Georgia.
10. Changes to Terms
We may update these Terms at any time. We will provide notice of material changes via email or a prominent notice on the Platform. Your continued use of the Platform after such notice constitutes acceptance of the updated Terms.
